Due diligence elements are the fundamental issues that are incorporated into the risk assessment process for conducting a due diligence exam. A wide range of parties can benefit from the process, including companies that want to study their potential partner prior to an acquisition or merger as well as investors seeking an exhaustive risk assessment prior to investing; and employees assessing potential employment candidates.
The process of due diligence may involve a range of different checks, based on the intended use and the scope. Common checks include identity verification and screening against sanctions lists and criminal watchlists, as well as an investigation into the sources of funds. In addition, a risk-based approach must be used to determine if enhanced due diligence (EDD) measures should be implemented. Customers who are at a higher-risk of financial crime and money laundering will require additional measures, including increased monitoring of transactions patterns and obtaining more information.
EDD can also include assessing the beneficial ownership of corporate clients to minimize the risks of hiding ownership. The process could include examining the company’s structure and identifying any connections to public officials which could lead to corruption. Additionally, it is essential that EDD includes regular reviews of international sanctions lists to ensure compliance with regulations.
A thorough due diligence process will provide a summary of key findings to people who don’t have time to read the entire report. The summary should be brief and include the kind of due diligence that was completed (e.g. an exhaustive risk analysis before investing in a business) and the reason behind the diligence, and any important results.
